These Terms of Service ("Terms") govern access to and use of the website, software, applications, APIs, and services ("Services") provided by Allentics IT Solutions Pvt. Ltd. ("Allentics", "we", "our", "us").
By accessing or using the Services, you ("Customer", "you") agree to be bound by these Terms.
If you do not agree, do not use the Services.
1. Definitions
- Customer – the business entity using the Services
- End User – any individual whose data is processed through the platform
- Customer Content – all data, messages, leads, conversations, and inputs processed through the platform
- Subscription – the paid or trial plan selected by the Customer
- Third-Party Services – APIs and platforms integrated with the Services (e.g., WhatsApp, Meta, Google, OpenAI)
2. Scope of Services
Allentics provides AI-powered automation systems, inbound sales agents, lead qualification workflows, dashboards, and integrations.
Services may include:
- Automated lead response
- AI-based qualification and routing
- Meeting scheduling
- CRM and messaging integrations
- Analytics and dashboards
We may modify, improve, or discontinue parts of the Services from time to time.
We do not guarantee uninterrupted availability or specific business outcomes.
3. Eligibility & Authority
You represent and warrant that:
- You are legally authorized to bind your organization
- You are using the Services for lawful business purposes
- You will comply with all applicable laws and third-party platform policies
4. Account Registration & Responsibilities
You agree to:
- Provide accurate and complete registration information
- Maintain confidentiality of credentials and API keys
- Restrict access to authorized users only
- Ensure all End Users have provided valid consent
You are solely responsible for:
- All activity under your account
- Configuration of workflows and automation logic
- Compliance with messaging, privacy, and data protection laws
Allentics is not responsible for consequences of misconfiguration.
5. Fees, Billing & Taxes
5.1 Subscription Fees
- Fees are billed in advance per selected plan
- All fees are exclusive of applicable taxes
5.2 Setup Fees
Setup fees are refundable only if Allentics fails to deliver the explicitly agreed written scope.
5.3 Late Payments
Failure to pay may result in:
- Suspension of Services
- Termination of account
- Accrual of interest or penalties
5.4 Taxes
You are responsible for all applicable taxes, duties, and levies.
6. Acceptable Use
You may not use the Services to:
- Send spam, phishing, or unlawful communications
- Violate WhatsApp, Meta, Google, OpenAI, or API provider policies
- Process illegal, harmful, or infringing content
- Reverse engineer, copy, resell, sublicense, or exploit the platform
- Interfere with platform security or integrity
We may suspend or terminate accounts for violations.
7. AI & Automation Disclaimer
You acknowledge and agree:
- AI outputs are probabilistic and may be inaccurate
- Automation decisions depend on configurations and models
- All business decisions remain your responsibility
Allentics does not guarantee:
- Conversion rates
- Lead quality
- Revenue results
- Accuracy of predictions or recommendations
The Services are provided as decision-support tools, not replacements for human judgment.
8. Intellectual Property
8.1 Allentics IP
Allentics retains all rights to:
- Platform software
- Automation frameworks
- Templates and workflows
- AI models and systems
- Dashboards and analytics
8.2 Customer Content
You retain full ownership of Customer Content.
8.3 License
You are granted a limited, non-exclusive, non-transferable license to use the Services during your Subscription.
You may not:
- Copy or modify the platform
- Create derivative works
- Resell or sublicense
- Use outside authorized scope
8.4 Feedback
Feedback may be used by Allentics without restriction or compensation.
9. Confidentiality
Each party agrees to:
- Keep confidential all non-public business and technical information
- Use confidential information only for Service purposes
- Protect Customer Content using reasonable safeguards
Confidentiality obligations survive termination.
10. Data Protection & Processing
Processing of personal data is governed by:
- Privacy Policy
- Data Processing Agreement (if applicable)
You remain the data controller for Customer Content.
Allentics acts as data processor only under your instructions.
11. Third-Party Services & APIs
The Services depend on third-party platforms including:
- WhatsApp Business API
- Meta APIs
- Google APIs
- AI model providers
- Cloud infrastructure
Allentics is not responsible for:
- API downtime
- Policy changes
- Account bans by third parties
- Message delivery failures
Use of third-party services is subject to their own terms.
12. Warranties & Disclaimers
Services are provided "as is" and "as available."
Allentics disclaims all warranties including:
- Merchantability
- Fitness for a particular purpose
- Accuracy
- Availability
- Non-infringement
We do not warrant that:
- Services will be error-free
- Messages will always be delivered
- Automation will perform without interruption
13. Limitation of Liability
To the maximum extent permitted by law:
- Allentics is not liable for indirect, incidental, special, or consequential damages
- Not liable for losses arising from:
- AI decisions
- Automation misconfiguration
- Third-party platform outages
- API failures
- Customer misuse
Except for confidentiality breaches, data protection violations, or willful misconduct:
Total liability shall not exceed the fees paid by you in the preceding six (6) months.
14. Indemnification
You agree to indemnify and hold harmless Allentics from claims arising from:
- Your misuse of Services
- Violation of laws or third-party policies
- Content processed through your account
- Unauthorized messaging or spam
15. Termination & Suspension
We may suspend or terminate access if:
- Payments fail
- Misuse occurs
- Illegal or spam activity is detected
- Platform policies are violated
You may terminate at any time effective at the end of the billing cycle.
Upon termination:
- Access ceases immediately
- Outstanding fees remain payable
- Data may be deleted after retention period
16. Service Availability & SLA
Unless otherwise agreed in writing:
- No guaranteed uptime is provided
- Maintenance windows may occur
- Support response times are best-effort
Enterprise Customers may enter into a separate SLA agreement.
17. Force Majeure
Neither party is liable for failure due to events beyond reasonable control including:
- Network outages
- API provider failures
- Natural disasters
- Government actions
- Power or infrastructure failures
18. Assignment
You may not assign these Terms without prior written consent.
Allentics may assign these Terms in connection with merger, acquisition, or sale of assets.
19. Entire Agreement
These Terms, together with:
- Privacy Policy
- Refund Policy
- DPA (if applicable)
- SLA (if applicable)
constitute the entire agreement between the parties.
20. Governing Law & Jurisdiction
These Terms are governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.
